Proxy fight pushes Victoria’s Secret director out

Victoria’s Secret & Co. board member Mariam Naficy will not seek re-election as the company faces an escalating proxy fight with BBRC International, led by chairman Brett Blundy. BBRC has sought to unseat Naficy and board chair Donna James, citing governance concerns. Victoria’s Secret rejected Blundy’s board bid over reputational risks, governance issues, and conflicts tied to his rival intimates label Léays. The company also alleged that a senior BBRC employee accessed confidential sales data at several stores by posing as a Victoria’s Secret affiliate. The dispute follows ongoing scrutiny of the retailer’s governance under former parent L Brands.
